Terms of Use and Service

Strategic Venture Studio (SVS) is operated by GEMMA ZF. These Terms govern use of the website and, together with any accepted proposal, statement of work, order or invoice, govern services purchased from SVS.

Acceptance

By using this website, submitting information, approving a proposal or purchasing a service, you agree to the applicable Terms in effect at that time. If a signed proposal or statement of work conflicts with these website Terms, the signed or expressly accepted engagement document controls for that engagement.

Eligibility and younger founders

SVS may serve clients in multiple countries where doing so is lawful and operationally supported. A person who cannot legally enter a binding agreement or authorize payment on their own must participate through a parent, legal guardian or other legally authorized adult who accepts the agreement and payment responsibility. This allows SVS to work with younger founders without treating a child as the contracting party.

Website content and the Growth Handoff Check provide general business and marketing information. They are not legal, medical, tax, investment, accounting or other regulated professional advice.

No performance guarantees

SVS does not guarantee revenue, rankings, leads, conversions, advertising performance or other business outcomes. Results depend on market conditions, offer quality, execution, customer behavior, third-party platforms and factors outside SVS control.

Scope, proposals and package ranges

Published package amounts are validation ranges, not automatic quotes. Final scope, deliverables, responsibilities, timeline and investment are confirmed in the proposal, statement of work, order or other written engagement record. Public package cards do not automatically take payment.

Payments

Unless a written proposal or invoice states otherwise, prices are in U.S. dollars (USD). Payment amount, timing and due date will be shown before payment is requested. SVS may use FastSpring, Airtm or another identified payment provider when payment is enabled. Third-party payment providers have their own terms and may restrict countries, currencies or payment methods.

If an amount is overdue, SVS may pause work, delivery, access, scheduling or further performance until the account is current. A pause caused by nonpayment may affect the delivery timeline.

No-refund policy

Except where a refund is required by applicable law or SVS expressly agrees otherwise in writing, payments are final and non-refundable. Payment purchases the agreed scope, deliverable or service period. If you purchase a monthly service period, SVS will provide the agreed work for that paid period subject to your cooperation and these Terms. If you purchase a fixed deliverable, SVS will provide the agreed deliverable subject to the approved scope and your cooperation.

Meetings, rescheduling and no-shows

Either party should provide at least 12 hours' notice to reschedule a discovery call or other scheduled meeting when reasonably possible. Repeated late cancellations or no-shows may require a new booking and may delay project timelines.

Termination

Either party may end an ongoing engagement with at least 7 days' written notice unless the applicable proposal states a different notice period. Ending an engagement does not create a refund for an already-paid service period or completed/committed work, except where required by law. When SVS gives ordinary notice without client breach, SVS will complete the already-paid committed scope or service period before the termination becomes effective, unless the parties agree otherwise in writing.

SVS may pause or terminate immediately for nonpayment, unlawful activity, abuse or threats, security risk, fraud, material breach, or a client's failure to provide access, approvals or information necessary to perform the work. SVS may also decline future work at its discretion.

Client responsibilities

You are responsible for the accuracy and lawfulness of information, assets and instructions you provide; timely access and approvals; and having the rights needed for materials you ask SVS to use. Do not submit patient records, full financial-account details, government identification numbers, passwords or other highly sensitive information through public forms.

Intellectual property

Unless an engagement document states otherwise, SVS retains ownership of its pre-existing tools, methods, templates, know-how, website design and original site materials. Ownership or licensing of client-specific deliverables is governed by the applicable proposal or statement of work. Third-party platforms, software, fonts, media and other materials remain subject to their respective licenses.

Third-party services

The website and engagements may rely on or link to Cloudflare, Make, Resend, Zoho Mail, Google services, FastSpring, Airtm and other third-party providers. SVS is not responsible for a third party's independent outage, policy change, account suspension, pricing, availability or processing decisions. No specific payment method or withdrawal route is guaranteed unless confirmed for the transaction.

Website availability

SVS may change, suspend or discontinue website features when reasonably necessary and does not guarantee uninterrupted website availability.

Warranty disclaimer

To the maximum extent permitted by applicable law, the website is provided on an “as is” and “as available” basis. Except for express commitments in an accepted engagement document, SVS disclaims implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent those warranties may legally be disclaimed. Nothing in these Terms excludes a warranty or right that applicable law does not allow the parties to exclude.

Limitation of liability

To the maximum extent permitted by applicable law, SVS and GEMMA ZF will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, revenue, business opportunities, goodwill or data, arising from the website or services. SVS's aggregate liability for a paid service will not exceed the amount actually paid to SVS for the specific service giving rise to the claim during the six months preceding the event; for a one-time fixed project, the cap will not exceed the amount paid for that project.

These limitations do not apply to liability that cannot legally be limited or excluded, including where applicable for fraud, willful misconduct, gross negligence, or personal injury caused by conduct for which limitation is prohibited.

Governing law and disputes

These Terms and SVS engagements are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules, except where mandatory law in your location requires otherwise. Before starting formal proceedings, the parties should first attempt in good faith to resolve the dispute in writing for 30 days. Unless mandatory law requires another forum, disputes that cannot be resolved informally will be brought in the state or federal courts serving Lee County, Florida, and the parties consent to that jurisdiction.

Severability

If any provision is held unenforceable, the remaining provisions will continue to the maximum extent permitted by law.

Updates

SVS may update these Terms as the website, services or legal requirements change. The effective date will be updated when changes are published. Material changes affecting an active paid engagement will not retroactively reduce an expressly agreed client right unless permitted by the applicable engagement agreement and law.
